RULES OF THE "GURU" GAME

These regulations detail the conditions for organizing the game set up by GURU. Through a treasure hunt involving puzzles, some of which are in augmented reality (AR) and/or virtual reality (VR), GURU invites you to take part in an immersive investigation game in order to discover the GURU application and try to win one of the prizes at stake.

We invite you to read these regulations carefully, in particular to know the conditions of participation in the “GURU” game, the progress of the game and the methods of designating the winners.

ARTICLE 1 – PRESENTATION

  1. GURU – The term “GURU” designates the company GURU WORLD, a simplified joint stock company with share capital of 1,000 euros, whose head office is located at 36, boulevard de la Bastille

– 75012 Paris, registered in the Trade and Companies Register of Paris, under number 951 037 951 (hereinafter “GURU WORLD”, “GURU” or “the Company”).

GURU WORLD develops and publishes the “GURU” application, which will primarily consist, in version 0, of supporting a treasure hunt competition ahead of the opening of the “Guru Paris” restaurant (“the Restaurant” ) and then, in version 1, a gamified loyalty program application. (hereinafter “the Application”).

  1. The GURU Game – As part of the launch of the first version of the Application, GURU is organizing a game in the form of a treasure hunt and puzzles (hereinafter the “Game”).

The Game intends to offer its participants puzzles composed of one or more stages and likely to use so-called “immersive” technologies, in particular relating to virtual reality (VR) and augmented reality (AR).

The Game will take place from September 15, 2023 to September 28, 2023, the authentic French date and time of connection, as this information is recorded within the Application.

All persons wishing to participate in the Game are hereinafter referred to collectively as “the Participants” or individually as “a Participant”.

These regulations (hereinafter “the Regulations”) intend to specify the conditions of participation in the Game as well as the methods for determining winners and awarding prizes.

Throughout the duration of the Game, the Rules are freely accessible and consultable within the Application. GURU reserves the right to make any modification to the Regulations; in which case, GURU informs the Participants by all appropriate means.

ARTICLE 2 – ACCEPTANCE OF THE REGULATIONS

Participation in all or part of the different events making up the Game implies irrevocable and unreserved acceptance of the terms and conditions of the Regulations, the General Conditions of Use of the Application (hereinafter the “T&Cs”) as well as the laws and applicable regulations.

Non-compliance with the conditions of participation listed in the Rules or any action appearing not to comply with French law and/or likely to constitute fraud will result in the nullity of participation in the Game, without prejudice to any legal action that could be taken from this done by the Company.

ARTICLE 3 – CONDITIONS OF PARTICIPATION

  1. Participants – Participation in the Game is open to any natural person, regardless of their nationality, over 18 years of age, participating in their own name and having downloaded the Application and created a user account within the Application.

Participation in the Game is personal and nominative. The Participant may under no circumstances play with several accounts, in particular, under several nicknames or on behalf of other Participants, nor play under an artificial identity or contact details, nor usurp the identity or contact details of third parties, whatever the means. used.

Persons under the age of 18 may take part in the Game subject to presenting to the Company, upon first request, an authorization to participate signed by one of their legal representatives. This authorization will be established on plain paper and signed, at least, by one of the legal representatives of the minor.

Failing this, GURU reserves the right to disqualify the Game and/or delete the user account within the Application of the minor. More generally, GURU reserves the right to carry out any identity verification in order to ensure that the Participant meets the conditions for participation in the Game resulting from these Rules.

  1. Incompatibilities - For all purposes, it is specified that the following cannot participate in the Game:

GURU WORLD employees, volunteers and external service providers; People with a direct or indirect link with GURU WORLD;

All service providers who directly or indirectly contributed to the development of the Game;

Family members of one of the three categories of people mentioned above (ascendants, descendants and direct collaterals, spouses or cohabitees).

Only one registration per Participant will be accepted (same name, same first name, same email address). Any attempt, by the same person, to register multiple times in the Game will de facto result in the cancellation of all participations of the Participant concerned.

  1. Price of participation in the Game – Participation in the Game is free.

It is expressly specified that any costs incurred by the Participants as a result of their participation in the Game, in particular any travel costs as well as the costs incurred to access the Application and the Game, remain the exclusive responsibility of the Participants.

The Regulations can be sent, in paper format, free of charge (stamp refunded on simple request), to any person who makes an express request to GURU WORLD.

ARTICLE 4 – TERMS OF PARTICIPATION

  1. To take part in the Game, each Participant must:

  1. When the Game is launched, Participants are invited to scan a first marker via the Application.

Hint: The first marker to scan is the Guru logo on social media.

Once this step has been completed, a character appears to tell the player what to do. At this point, the player realizes that the Game consists of a card representing the city of Paris (“the Board”).

On this Plateau, new “markers” appear as the days go by. Additionally, some markers may appear online. Each marker is linked to a riddle which will be revealed on GURU social networks.

Participants will have to find the puzzles, solve them, go to the indicated location and find the marker in real life and/or online, which will allow them, once scanned via the Application, to discover, in augmented reality , an in-game character who will give them points and sometimes extra tips or even prizes.

Each validated marker will be rewarded with an ingredient or recipe. There are three recipes, each containing 7 ingredients, for a total of 24 markers (3 recipes plus 21 ingredients). Each validated recipe or marker gives a certain number of points, the total of which constitutes the player's score.

In addition to the Game taking the form of an augmented reality (AR) treasure hunt, the Participant will be invited every day to participate in a mini-game in the application, which will allow them to earn even more points to improve your overall score and earn vouchers that can be redeemed in the restaurant.

Participants who share their experience on social media, in case it goes viral, will receive bonus points from the GURU team. Likewise, the GURU team may launch additional challenges which will be announced on the GURU social networks and which will allow you to earn additional points or prizes throughout the duration of the game.

The amount of additional points or rewards for challenges will be announced along with the details of each potential challenge.

At the end of the period, the players who have accumulated the most points will receive the rewards corresponding to their rank in the general ranking.

The Game is based on a system of experience points (“XP Points”), which are awarded to Participants based on the actions they perform and their progress in the Game, in particular as follows:

When content relating to the Game published by Participants goes viral, the following XP Points will be awarded:

XP Points that can be earned through posting on social networks are not cumulative. For example, a Participant receives 500 points after reaching 1,000 likes and an additional 500 after reaching 10,000 likes, making 1,000 in total.

An additional 2,000 points will be awarded for more than 1 million likes on the participant's social networks.

To redeem points for content that has gone viral, the participant must send an email to contact@guruworld.group,

They are not assigned automatically. GURU reserves the right to check whether the “Likes” are organic, and to refuse to award XP Points if they are not.

ARTICLE 5 - PRIZES

  1. The Game prizes (hereinafter “the Prizes” or “the Prize”) will be awarded to the Participants having obtained the greatest number of XP Points at the end of the Game.

The Prizes are composed of the following elements, in descending order of ranking of Participants: The first 10 Participants will be invited to a VIP evening before the opening of the GURU Paris Restaurant (“the Evening”) and will receive the following gifts:

Guru Pass level 10 + Iphone 15 (or Android equivalent depending on your taste); Second place: Level 9 Guru Pass + Airpods (or equivalent);

Third place: Level 8 Guru Pass + Airpods (or equivalent); Fourth place: Guru Pass level 7 + airpods (or equivalent); Fifth place: Guru Pass level 6 + airpods (or equivalent), Sixth place: Level 5 Guru Pass

Seventh place: Level 4 Guru Pass Eighth place: Level 3 Guru Pass Ninth place: Level 2 Guru Pass Tenth place: Level 1 Guru Pass

“Level X Guru Pass” refers to the immediate allocation of a GURU User Account of a certain level. For example, the expression “Guru Pass level 5” means that the Participant’s User Account will instantly be upgraded to level 5.

Please note that, by default, Guru Pass User Accounts are at level 0. This level can be improved in different ways, notably by going to the Restaurant. To find out more about Guru Pass User Accounts and the different levels, you can consult the General Conditions of Use of the Application, available by following the link in article 2 of these Regulations/

Participants whose final ranking is between 11th (eleventh) and 50th (fiftieth) places will be invited to the VIP launch evening of the Restaurant, and will have their names added to the list of participants in the raffle organized during this evening. – which will allow you to win different prizes, including Guru Passes.

The Company reserves the right, if circumstances require, to replace the Lot(s) with one(s) of equivalent value, without its liability being incurred as a result.

The Participants, as well as the Winners – as this term results from article 6 below – expressly waive in advance any recourse against the Company due to any modification of one or more Prizes.

  1. For the  purposes of this article and these Regulations, the Company intends to provide the following definitions:

ARTICLE 6 – DESIGNATION OF WINNERS

  1. Throughout the duration of the Game, the Company maintains a ranking listing the Participants who have won the greatest number of points (hereinafter “the Ranking”).

The ranking is regularly updated by the Company. The Company may, for information purposes only, publish a real-time or delayed-time version of the Ranking within the Application.

From the date of completion of the Game, the Company must establish the final ranking of all Participants.

The Participants who have collected the greatest number of points are each awarded one of the prizes mentioned in Article 5 of the Regulations, in descending order and taking into account their final ranking (hereinafter “the Winners”).

In the event that two or more Participants have an identical number of points, the ranking of said Participants will be determined based on the moment when each of them reached said number of points, for the benefit of the Participant who first reached said number.

If it is still not possible to decide between the Participants with an identical number of points, the Company will organize a draw to decide between them, which will be carried out electronically using a fair method.

  1. The Winners will be informed individually, by the Company, of their final ranking and the Prize they have won by email. Said letter will be sent to the email address provided by the Winners when registering for the Application.

If they cannot take part in the Evening and/or if they are not invited – taking into account their final ranking at the Evening, and in order to recover their Prize, the Winners must, within 1 (one ) months from receipt of the aforementioned email sent by the Company, respond to said email by providing the Company with the following information:

  1. Without return within the time limit, the Winners will be deemed to have refused the Prize and the Company will be free to dispose of it as it wishes, without its liability being incurred as a result.

In the event that the contact details transmitted by a Winner in accordance with article 6.2 of these Rules are unusable (incomplete, partially incorrect contact details, etc.), the Winner will be considered to have refused their Prize.

  1. The Lot(s) may not give rise to any dispute or claim of any kind. They cannot be the subject of any financial compensation or exchange for another item or service.

The Company cannot under any circumstances be held responsible for all incidents and/or accidents of any nature whatsoever, nor for their consequences, which may occur during the use of the Lot(s) by the the Winners and/or by the accompanying person or by third parties.

ARTICLE 7 – PERSONAL DATA

As part of the organization of the Game, the Company may be required to collect and process the Personal Data of Participants. By “Data” or “Personal Data”, reference is made to any information relating to a natural person and of a nature to allow, directly or indirectly, the identification of this person.

The Data that the Company may collect include:

The processing carried out by the Company has the legal basis of the consent of the persons concerned or the legitimate interest of the Company in the context of the organization of the Game, in accordance with paragraphs a) and f) of article 6 of the General Regulations on the Protection of Personal Data of April 27, 2016 (hereinafter the GDPR).

The Data collected will be processed for the duration strictly necessary for the organization of the Game, the proper execution of the associated contracts, as well as the allocation of the Prizes.

In accordance with law n°78-17 of January 6, 1978, known as the Data Protection Act, as well as the GDPR, Participants have, on their Data collected by the Company:

Any request from one of the Participants, relating to the exercise of one of these rights, must be sent by email, addressed to the following address: contact@guruworld.group or by post, addressed to postal address of the Company indicated in article 1.1 of these Regulations, and must be addressed exclusively to Mr. Yann-Cédric MAINGUY.

In addition, Participants have the right to lodge a complaint with the CNIL if they consider that the Company has not respected their rights and/or processes their Data in a manner contrary to the GDPR, at the following address: CNIL - Complaints Department - 3 Place de Fontenoy - TSA 80715 - 75334 PARIS CEDEX 07.

The Participants also have the right to define general and specific directives defining the manner in which they intend for the rights mentioned above to be exercised, after their death, by post to the address of the Company's head office, such as indicated in article 1.1 of these Regulations and accompanied by a copy of a signed identity document.

The Company undertakes, in accordance with articles 34 and 35 of the amended law of January 6, 1978, relating to data processing, files and freedoms as well as articles 32 to 35 of the general data protection regulations of 27 April 2016, to take all precautions consistent with custom and the state of the art, as part of its activities related to the Game in order to protect the confidentiality of the Data.

The Data is used exclusively by the Company, hosted and processed on secure servers, and will only be processed by authorized personnel of the Company. GURU is committed to securing Participants’ personal information and keeping it strictly confidential.

A transfer of personal data to a country third to the European Union or to an international organization may take place when the CNIL has noted, by decision, that the third country, a territory or one or more sectors determined in this third countries, ensures an adequate level of protection of personal data.

Such a transfer does not require specific authorization.

In the absence of a decision from the CNIL concerning the adequate level of protection of the third country to the European Union, the Company cannot transfer this data to such a country unless appropriate guarantees have been put in place contractually and the condition that Participants nevertheless have enforceable rights and effective legal remedies within the country(ies) concerned.

ARTICLE 8 – RESPONSIBILITY OF GURU WORLD

  1. GURU's responsibility is limited to the organization of the Game and the delivery of the Prize(s) actually and validly won in accordance with the provisions of the Regulations, subject to compliance by each Participant with the provisions of the Regulations, the exception of cases where said delivery will be made impossible for reasons beyond its control.

  1. The Company cannot incur any liability if, due to cases of force majeure, events beyond its control making the normal progress of the Game, the delivery or enjoyment of the Prize(s) by the person(s) impossible. Winner(s) or, if circumstances so require, it was required to shorten, extend, cancel the Game or modify its conditions.

  1. In particular, without this list being considered exhaustive, GURU WORLD declines all liability:

  1. The attention of Participants, and more particularly of Winners, is drawn to the following facts regarding Blockchain and NFT:

  1. Connection and use of the Application is under the full and sole responsibility of the Participant.

Participation in the Game via the Internet implies knowledge and acceptance of the characteristics and limits of the Internet, in particular with regard to technical performance, response time for consulting, querying or transferring information, the absence of protection of certain data against possible misappropriation and the risks of contamination by possible viruses circulating on the network, cannot under any circumstances result in the liability of GURU WORLD.

GURU WORLD cannot be held responsible in the event of a malfunction of the Internet network, in particular due to external malicious acts, which prevent the proper functioning of the Game.

  1. Furthermore, GURU WORLD declines all responsibility in the event of impossibility or interruption of access to the Application, for technical reasons, updating or maintenance. The Company will under no circumstances be responsible for these interruptions and their consequences.

  1. The Company reserves the right to disqualify any Participant who seeks to alter the proper functioning of the Game, or seeks to defraud and/or harm the smooth running of the Game, without prejudice to any possible proceedings which may also be initiated. by the Company against such behavior.

In addition, GURU WORLD reserves the right to suspend or stop the Game in the event of fraud or attempted fraud.

ARTICLE 9 – MISCELLANEOUS

  1. Contradiction – In the event of a contradiction between the provisions of the Rules and any message and/or any information relating to the Game, the provisions of the Rules will prevail.

  1. Invalid or inapplicable clause – In the event that one of the provisions of these regulations proves to be invalid or inapplicable, the validity of the remaining provisions will not be affected. The Company will replace the invalid or unenforceable provision with a valid provision having equivalent effect to the original provision.

  1. French version – Only this French version of the Regulations has legal value. Any other version or translation of the Rules is only available for information purposes, to enable consultation by non-French-speaking Participants, and has no legal value.
  2. Disputes – These Regulations are subject to French law. Any dispute that arises during the Game will be resolved, as far as possible, amicably between the Company and the Participant(s) concerned.

In the event of persistent disagreement regarding the interpretation, application or execution of these Rules, and in the absence of an amicable agreement, any dispute linked to the Game will be submitted, unless otherwise provided for by public order, to the competent courts of the falls under the jurisdiction of the Paris Court of Appeal.
